These Terms and Conditions ("Terms") govern your use of LumiCRM, a customer relationship management platform operated by Lumiizen ("we", "us", "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Definitions

  • "Platform" refers to LumiCRM, including the web application, APIs, and all related services.
  • "User" refers to any individual or entity accessing or using the Platform, including administrators, team members, agents, and partners.
  • "Customer Data" refers to personal data of end customers that Users input, store, or process through the Platform.
  • "Organization" refers to a workspace or tenant on the Platform.
  • "Agent" or "Partner" refers to authorized third-party sales representatives operating within the Platform's partner network.

2. Account & Access

  1. You must provide accurate and complete information when creating an account.
  2. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  3. Access to the Platform is role-based. Organization administrators control team member access and permissions.
  4. We reserve the right to suspend or terminate accounts that violate these Terms or engage in unauthorized activities.
  5. You must be at least 18 years of age to use the Platform.

3. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Upload, store, or transmit any malicious code, malware, or harmful content
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Platform to send unsolicited bulk messages (spam) in violation of applicable anti-spam laws
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Resell, sublicense, or redistribute the Platform without our written authorization
  • Store or process sensitive personal data (health records, financial credentials) beyond what is necessary for ordinary business transactions

4. Customer Data & Responsibility

  1. Data Ownership: You retain ownership of all Customer Data you input into the Platform. We do not claim ownership of your data.
  2. Data Accuracy: You are responsible for ensuring the accuracy and legality of Customer Data you store and process through the Platform.
  3. Consent Responsibility: If you store personal data of your end customers, you are responsible for obtaining appropriate consent in compliance with the PDPA and any applicable data protection laws. This includes consent for marketing communications sent through the Platform or integrated messaging channels.
  4. Data Processing: We process Customer Data on your behalf to provide the Platform's services. Our use of your data is governed by our Privacy Policy.
  5. Data Export: You may export your Customer Data at any time using the Platform's built-in export features.

5. Messaging & Communications

  1. The Platform may integrate with third-party messaging services (including but not limited to WhatsApp, Facebook Messenger, Instagram, SMS, and email). Your use of these channels is subject to the respective platform's terms and policies.
  2. You are responsible for complying with all applicable messaging regulations, including obtaining proper consent before sending marketing messages and providing clear opt-out mechanisms.
  3. We are not responsible for message delivery failures caused by third-party messaging platforms, carrier networks, or recipient device settings.
  4. Meta Platform Integrations: Use of Facebook Messenger, Instagram, and other Meta integrations within the Platform is subject to Meta's Platform Terms and Developer Policies. Data received through Meta APIs ("Meta Platform Data") will only be used to provide CRM functionality within the Platform and will not be sold, licensed, or otherwise distributed to third parties. Meta Platform Data will not be used for surveillance, tracking, or profiling of individuals beyond the scope of the CRM services you have authorized. Meta Platforms, Inc. is an intended third-party beneficiary of these Terms as they relate to your use of Meta Platform Data and may enforce these Terms independently.

6. Agent & Partner Network

  1. Organizations may onboard agents and partners who can access designated customer data and place orders on behalf of or for delivery to assigned customers.
  2. Organization administrators are responsible for managing agent access, permissions, and ensuring agents comply with applicable data protection laws.
  3. Agents must use Customer Data only for authorized purposes related to their assigned customers and must not disclose such data to unauthorized parties.

7. Intellectual Property

  1. The Platform, including its design, code, features, branding, and documentation, is the intellectual property of Lumiizen and is protected by applicable intellectual property laws.
  2. We grant you a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes during the term of your subscription.
  3. You retain all intellectual property rights in the Customer Data you upload to the Platform.

8. Service Availability

  1. We strive to maintain high availability but do not guarantee uninterrupted access to the Platform. Scheduled maintenance, system updates, or unforeseen technical issues may result in temporary downtime.
  2. We are not liable for any loss or damage arising from service interruptions, including interruptions caused by third-party service providers, internet connectivity, or force majeure events.

9. Limitation of Liability

  1. To the maximum extent permitted by law, Lumiizen shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
  2. Our total liability for any claim related to the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.
  3. We are not liable for the actions, omissions, or data handling practices of third-party messaging platforms, payment processors, or other integrated services.

10. Termination

  1. Either party may terminate the use of the Platform at any time. Upon termination, your access to the Platform will be revoked.
  2. You may export your Customer Data prior to termination using the Platform's export features. We will retain your data for 30 days following termination, after which it will be securely deleted.
  3. We may immediately suspend or terminate your access if you materially breach these Terms, engage in unlawful activity, or pose a security risk to the Platform or other users.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
